1. Acceptance
By creating an account, redeeming license keys, or integrating our APIs, you accept these Terms on behalf of yourself or the entity you represent. You affirm that you have authority to bind that entity and that you will communicate these Terms to all authorized users.
2. Service Description
Meridian provides hosted licensing, telemetry, and automation services for Nimbus products. We may refine infrastructure, integrations, or interfaces as long as core capabilities remain materially aligned with our public roadmap and contractual commitments.
3. Account & Keys
You must secure your login credentials, API tokens, and all downstream keys issued through Meridian. Notify us immediately of any suspected compromise. We may suspend or revoke keys we believe were generated, distributed, or used in breach of these Terms.
4. Acceptable Use
You agree not to probe, disrupt, or bypass Meridian's security, rate limits, or licensing enforcement. You will comply with all applicable laws, export controls, and third-party rights, and you will not resell, redistribute, or white-label Meridian without prior written authorization.
5. Billing & Refunds
Subscription charges are billed in advance to your authorized payment method and remain non-refundable unless we materially breach these Terms and fail to cure within thirty days of notice. Plan downgrades take effect at the next renewal. You are responsible for all taxes unless we are legally required to collect them.
6. Privacy
We process operational and account data to deliver, secure, and improve Meridian. Additional details, including categories of data, retention periods, and data subject rights, are described in our Privacy Policy, which is incorporated by reference. You are responsible for any notices or consents required for your end users.
7. Liability Limitation
Meridian is provided “as is” without warranties beyond those expressly stated herein. To the maximum extent permitted by law, our aggregate liability under these Terms will not exceed the fees you paid to us in the twelve months preceding the claim, and we are not liable for indirect, consequential, exemplary, or punitive damages.
8. Changes To These Terms
We may update these Terms to reflect product, legal, or operational changes. Material revisions will be communicated via dashboard notice or email at least ten days before they take effect. Continued use of Meridian after the effective date constitutes acceptance of the updated Terms.
